When a registered office is enough, and when it isn't.
Most competitors gloss over this. The honest line matters.
A registered office is fine if
- Your BV is genuinely a small remote-managed operation
- You're not aggressively claiming Dutch tax-residency benefits
- You build other NL nexus over time (employees, travel, bank)
It's not sufficient if
- You want a traditional Dutch bank (ING, ABN AMRO, Rabobank). They want substance, and an address alone gets rejected
- You run a holding, financing or IP-conduit, where anti-abuse rules require real substance
- You claim treaty benefits needing place of effective management in NL
