1. Who these terms are between
These terms are between DT Global Ventures Ltd and you, the customer. BVform is a trading name of DT Global Ventures Ltd, registered in England & Wales, company no. 16042336. Registered office: 3rd Floor, 86-90 Paul Street, London EC2A 4NE, United Kingdom.
2. What we do
We coordinate the formation of your Dutch BV. An independent Dutch civil-law notary runs its own client due diligence, drafts the deed of incorporation, the articles of association and the power of attorney, holds a video call with you to explain the power of attorney, then executes the deed, registers the BV with the KVK and files its UBO details.
We handle intake and the company-name check, our own client due diligence, collecting your documents in the notary's format, translations and interpreter scheduling where needed, the QES signing flow for the power of attorney, paying the notary's and KVK fees directly, and tracking every step in your client portal. Every package also includes VAT registration support, and Article 23 support is available as a paid add-on. The notary is independent and is legally responsible for the deed; we don't draft or execute it ourselves.
3. What we don't do
So you know exactly where our work stops, we don't:
- Provide or arrange a business address or mail handling
- Open bank accounts or introduce banks
- Provide, recommend or recruit directors
- Draft or execute the deed ourselves; that's the notary's job
- Guarantee a VAT number, an Article 23 licence, a bank account, notary acceptance, or any timeline
4. Your obligations
You agree to give us accurate, complete information and documents, and to tell us promptly if anything changes.
Your BV needs a Dutch business address. We'd love to handle this for you, but Dutch law doesn't allow the firm that helps with your VAT and Article 23 applications to also be involved in your business address. So you arrange it yourself before we begin; it isn't part of our service.
You're responsible for getting your own tax advice on your situation, including on where your BV is effectively managed, and for obtaining a QES and joining the video call with the notary.
5. Prices, VAT and payment
Prices are shown ex VAT. UK VAT applies to customers in the UK and to individuals who aren't acting through a business; businesses outside the UK are generally outside the scope of UK VAT. Notary fees and the KVK registration fee are included in your package price; we pay the notary directly. We'll confirm how and when to pay before we start work, and you'll know the full package price before we instruct the notary.

6. No guarantees
Some outcomes are decided by others, not by us. The notary runs its own due diligence and may decline to act for you (see cancellation and refunds, below). A VAT number is not guaranteed; the Belastingdienst may ask questions, take longer, or decline where there's no evidence of real business activity. Article 23 approval is decided by the Belastingdienst within eight weeks and isn't guaranteed either. We don't open bank accounts or make introductions, so we can't guarantee you'll get one. 7. Cancellation and refunds
If you cancel before we instruct the notary, you get a full refund minus a €145 administration fee. If the notary declines you after its own due diligence, you get a full refund minus the €145 administration fee and any third-party costs you'd approved in advance, such as translations or a QES certificate. Once the deed is executed, there's no refund.
8. Liability
We're not liable for decisions made by the notary, the KVK, the Belastingdienst, Dutch Customs, banks or other independent third parties; those are theirs to make. Subject to that, and to the extent the law allows, our aggregate liability to you is limited to the fees you paid us in the 12 months before the claim. Nothing in these terms limits liability that can't be limited by law (for example for fraud, or for death or personal injury caused by negligence), or your statutory rights as a consumer.
9. Confidentiality and data
We keep your information confidential and process personal data as set out in our privacy policy.
10. Complaints
If anything about our service falls short, email us at hello@bvform.nl and we'll do our best to put it right.
11. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. Your Dutch BV itself remains subject to Dutch law.
12. Changes to these terms
